Terms of Service
These terms govern your use of Paxworks Track and Paxworks Plan (together, "Paxworks"), operated by Paxworks Ltd ("we", "us"). By creating an account or using either product, you agree to these terms on behalf of yourself and, if applicable, your organisation.
The service
Paxworks Track is billing-first time tracking with milestone budgets, invoicing, and a client portal. Paxworks Plan is project management — Gantt, Kanban, dashboards — that connects to your Track projects. You can use either on its own or both together.
Accounts
- You're responsible for keeping your login credentials secure, and for activity that happens under your account.
- Organisation admins control who has access, their role, and their permissions — including whether client-portal access is granted, and to whom.
- You must provide accurate account information and keep it up to date.
Billing
- First seat is free; additional seats and Plan access are billed per seat, monthly or annually, through Stripe.
- Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation stops future billing but doesn't retroactively refund the current billing period, except where required by law.
- If a payment fails and isn't resolved, we may suspend access to your organisation's account until it's brought current.
- Pricing may change with notice; continued use after a change constitutes acceptance of the new pricing.
Your data and content
You own the data you put into Paxworks — your projects, client records, time entries, invoices, and files. We process it to provide the service, as described in our Privacy Policy, which is incorporated into these terms by reference. You're responsible for having the right to store any client or third-party data you add.
Client portal
If you invite clients into the client portal, you control what they can see and do. You're responsible for the accuracy of what you share with them and for managing their access — including revoking it when appropriate.
Third-party integrations
Connecting Xero or Slack is optional and entirely your choice. You're responsible for the account you connect and for what syncs to it. Disconnecting an integration stops future syncing but doesn't undo data already sent (e.g. invoices already pushed to Xero).
Acceptable use
You agree not to:
- Use Paxworks for anything unlawful, or to store or transmit content you don't have the right to share.
- Attempt to disrupt, reverse-engineer, or gain unauthorised access to the service.
- Share your account credentials outside your organisation, or circumvent seat-based billing.
Service availability
We aim to keep Paxworks available and reliable, but we don't guarantee uninterrupted operation, and we may perform maintenance that temporarily affects access.
Limitation of liability
To the maximum extent permitted by law, Paxworks is not liable for indirect, incidental, or consequential damages arising from your use of the service, including business decisions made based on data in the app (e.g. burn-rate alerts, invoice totals) — you remain responsible for verifying figures before relying on them for client billing or financial reporting. Our total liability for any claim relating to the service is limited to the fees you paid us in the 3 months before the claim arose.
Termination
You may close your account at any time. We may suspend or terminate access for breach of these terms, non-payment, or unlawful use. On termination, your data is handled per the retention terms in our Privacy Policy.
Changes to these terms
We'll update the "last updated" date above if these terms change, and post the new version at this same URL. Continuing to use the service after a change means you accept the updated terms.
Governing law
These terms are governed by the laws of England and Wales.
